About this seal
Australian companies have not had to own a common seal since the Company Law Review Act 1998. A company that still has one must make it show the company's name and its ACN, or an ABN that contains the ACN (section 123 of the Corporations Act 2001). Under section 127, a company can execute a document without a seal if it is signed by two directors, a director and the company secretary, or — for a proprietary company with one director who is also the secretary — that director. With a seal, the same people witness the fixing of the seal and sign. Either method lets a counterparty rely on the statutory assumptions in section 129. Seals are still used where a company's constitution asks for them, for strata and incorporated-association documents, and where a foreign registry, bank or land office expects one; electronic signing under section 127 has been permanently allowed since 2022, but that route uses signatures, not the seal.
Common uses
- Artwork for ordering an embossing seal or a round rubber common seal
- Execution pages for deeds and agreements where the constitution requires the seal
- Documents for overseas registries, banks and land offices that expect a company seal
- Strata (owners corporation) and incorporated-association seals — both have presets in the editor
How to create it
- Open the template — the round common-seal layout is pre-applied.
- Replace SAMPLE PTY LTD with the registered company name.
- Put the company's ACN in the centre (or an ABN that includes the ACN).
- Keep COMMON SEAL on the bottom arc, then adjust the size for your embosser or stamp.
- Export a transparent PNG, SVG or PDF — use the s127 execution-block preset for the signature panel.
Frequently asked questions
Is a common seal mandatory for an Australian company?
No. It has been optional since 1998. A company can execute documents through the signatures of its directors and secretary under section 127 of the Corporations Act.
What must appear on a common seal?
Section 123 requires the company's name and its ACN — or its ABN, if the ABN contains the ACN. Words like COMMON SEAL are customary rather than required.
How is a document executed with the common seal?
The seal is fixed to the document and the fixing is witnessed by two directors, a director and the company secretary, or the sole director-secretary of a proprietary company, who each sign.
Legal & usage
Seals render in your browser for design and demonstration only. An image of a seal does not execute a document: under section 127 the fixing of a seal counts only when it is witnessed by the authorised officers, who also sign. Only design a seal for a company you are authorised to act for.
