About this seal

Most US states do not require an LLC to have a seal, and an operating agreement or membership certificate is valid when properly signed. Many LLCs still adopt one: some banks, title companies and foreign counterparties ask for a sealed resolution or certificate, and an LLC kit traditionally ships with an embosser. The usual design mirrors a corporate seal — the exact registered name, the state where the LLC was formed and the year of formation.

Common uses

  • Membership certificates and LLC record books
  • Resolutions and certificates of incumbency requested by banks
  • Documents for foreign partners who expect a company seal
  • Artwork for an embosser or self-inking stamp

How to create it

  1. Open the template — the round LLC seal layout is pre-applied.
  2. Replace SAMPLE HOLDINGS LLC with the exact name on your articles of organization.
  3. Edit the bottom arc with your state of formation and year.
  4. Keep SEAL in the center or swap in your initials.
  5. Export a transparent PNG, SVG or PDF.

Frequently asked questions

Does an LLC need a seal?

In most states, no. A seal is optional; it is mainly used when a bank, title company or foreign counterparty asks for one, or for membership certificates.

What goes on an LLC seal?

Usually the LLC's exact legal name, the state of formation and the year it was formed. The center often says SEAL or carries a monogram.

Legal & usage

Seals render in your browser for design and demonstration. A seal image does not make a document binding on its own — authorized signatures do — and you should only create a seal for an LLC you are authorized to act for.
